Tokenized Player Card Disclosure

Effective Date: September 25, 2026

This Tokenized Player Card Disclosure explains what an official QB Club Player NFT represents, how it relates to physical football cards held by The QB Club, and the limits of the rights associated with holding the NFT.

This Disclosure supplements The QB Club Terms of Service, Card Custody & Redemption Policy, Marketplace Policy, Contest Rules & Eligibility Policy, and other applicable QB Club policies.

A Player NFT is a blockchain-based digital collectible. Its associated physical football cards are separate physical assets held and documented by The QB Club.

The two are connected through The QB Club’s records and program rules, but ownership of the blockchain token does not itself constitute legal title to the physical cards.

1. What a Player NFT Is

An official QB Club Player NFT is a unique digital collectible issued on the Solana blockchain.

A Player NFT may include or reference information such as:

  • Player name;
  • QB Club serial number;
  • Player Club;
  • Position;
  • NFT artwork;
  • Mint address;
  • Metadata;
  • Associated physical-card information; and
  • Other collectible attributes.

Each official Player NFT can be identified through its Solana mint address and The QB Club Registry.

The blockchain token may be held and transferred through compatible Solana wallets.

2. The Associated Physical-Card Collection

Each official QB Club Player NFT begins with at least one documented physical football card unless expressly stated otherwise.

Additional physical cards may later become associated with the Player NFT through:

  • Vault Boosts;
  • Special events;
  • Collection additions;
  • Promotional programs; or
  • Other QB Club activities.

The collection associated with a Player NFT may therefore grow over time.

The QB Club Registry documents the physical cards currently associated with each recognized Player NFT.

3. The NFT and the Physical Cards Are Different Assets

The Player NFT and the associated physical cards should not be understood as the same asset.

The NFT is a digital token existing on the Solana blockchain.

The physical-card collection consists of tangible football cards held and documented by The QB Club.

Holding the NFT gives the holder the QB Club-administered rights and benefits associated with that Player NFT under applicable policies.

Holding the NFT does not, by itself:

  • Transfer legal title to the physical cards;
  • Provide immediate possession of the physical cards;
  • Require The QB Club to ship the physical cards on demand;
  • Provide ownership of The QB Club;
  • Provide equity in The QB Club;
  • Create a right to dividends, revenue sharing, interest, or profits from The QB Club; or
  • Guarantee any financial return.

4. Title and Custody of Physical Cards

Unless and until an authorized physical-card redemption is completed, legal title to physical cards held in custody remains with The QB Club or its designated custodian.

The QB Club maintains the physical cards for purposes including:

  • Documentation;
  • Collection continuity;
  • Vault Boost additions;
  • Future redemption where available; and
  • Other QB Club programs.

Physical cards may be stored directly by The QB Club or by a third-party custody provider.

The complete custody framework is described in the Card Custody & Redemption Policy.

5. The QB Club Registry

The QB Club Registry provides the primary public record connecting a recognized Player NFT with its documented physical-card collection.

Registry information may include:

  • Player name;
  • Serial number;
  • NFT mint address;
  • Original physical card;
  • Additional Vault Boost cards;
  • Ownership or availability status;
  • Redemption status;
  • Administrative status; and
  • Other collectible information.

The Registry and the Solana blockchain serve different purposes.

The blockchain records possession and transfers of the NFT.

The Registry documents the collectible’s relationship to The QB Club, including physical-card custody and QB Club-administered status.

A blockchain token can therefore continue to exist even if its QB Club-administered status later changes.

6. Rights Associated With an Active Player NFT

An active and recognized Player NFT may provide access to QB Club features including:

  • Documentation of its physical-card collection;
  • Vault Boost additions;
  • Eligibility for certain competitions;
  • Eligibility for prizes or rewards;
  • Marketplace functionality;
  • Potential future physical-card redemption;
  • Member benefits;
  • Other features announced by The QB Club.

Not every feature applies to every Player NFT at all times.

Eligibility may depend on factors such as:

  • Player Club;
  • Position;
  • Player status;
  • Competition rules;
  • Ownership-snapshot times;
  • Marketplace status;
  • Account and wallet status; and
  • Other applicable policies.

QB Club-administered features may evolve as the platform develops.

7. Transfer of a Player NFT

An active Player NFT may generally be transferred between compatible Solana wallets.

When an active and recognized Player NFT is lawfully transferred, the QB Club-administered rights associated with that NFT ordinarily follow the NFT rather than remaining with the previous holder.

The prior holder does not retain rights to the associated physical-card collection after transferring the NFT.

Certain rights may be determined at a specific point in time.

For example, transferring an NFT after a published competition ownership snapshot does not necessarily transfer eligibility for that already-snapshotted competition.

Ownership and eligibility are subject to The QB Club’s applicable policies and published rules.

8. Redemption of Physical Cards

Physical-card redemption is not currently an on-demand feature.

When redemption is made available, The QB Club will publish the applicable eligibility requirements, procedures, deadlines, fees, and NFT-handling requirements.

Redemption may become available in circumstances described in the Card Custody & Redemption Policy, including certain retirement, program-discontinuation, special redemption, or other announced circumstances.

A redemption process may require the Player NFT to be:

  • Transferred to The QB Club;
  • Burned;
  • Retired; or
  • Otherwise handled according to the published redemption instructions.

A completed redemption generally ends the relationship between the Player NFT and the redeemed physical-card collection.

Redemption is generally intended to be final.

9. Player NFT Status

For clarity, The QB Club distinguishes among several different Player NFT statuses.

Active

An Active Player NFT is recognized by The QB Club and retains the applicable rights and benefits associated with that NFT.

Suspended

A Suspended Player NFT remains associated with its physical-card collection, but some QB Club-administered rights may be temporarily restricted while a payment, ownership, fraud, security, or other issue is investigated.

Suspension is temporary and does not itself remove or alter the blockchain token.

Administratively Deactivated

An Administratively Deactivated Player NFT is a blockchain token that The QB Club has permanently stopped recognizing for specified QB Club-administered rights and benefits following extraordinary circumstances such as permanent nonpayment or verified fraud.

Administrative Deactivation does not remove or destroy the blockchain token.

An Administratively Deactivated NFT may remain in a wallet while no longer being recognized for:

  • Competition eligibility;
  • Prize or reward eligibility;
  • Vault Boost additions;
  • Physical-card redemption;
  • Certain Marketplace functions; or
  • Other QB Club-administered benefits.

The associated physical-card collection may return to QB Club inventory as described in the Card Custody & Redemption Policy.

Redeemed

A Redeemed Player NFT is one for which an authorized physical-card redemption has been completed.

Following redemption, the associated physical cards have been released from QB Club custody and the NFT’s future QB Club-administered utility may permanently end.

10. Administrative Deactivation Is Not Redemption

Administrative Deactivation and Redemption are fundamentally different.

Redemption is an authorized process through which an eligible holder receives the associated physical-card collection.

Administrative Deactivation occurs when The QB Club stops recognizing an NFT for QB Club-administered rights because of extraordinary circumstances such as permanent nonpayment or fraud.

A holder of an Administratively Deactivated NFT does not receive the associated physical cards merely because the NFT has been deactivated.

The physical cards may instead return to QB Club inventory and may be retained, reassigned, or associated with another Player NFT in accordance with The QB Club’s policies.

11. Competitions and Rewards

Certain active Player NFTs may be eligible for QB Club fantasy-style competitions, simulations, tournaments, and other events.

Competition eligibility is governed by the Contest Rules & Eligibility Policy and the rules published for each individual event.

Eligibility may depend on factors such as:

  • Player or position;
  • Player Club;
  • Ownership at a published snapshot time;
  • Competition format;
  • Player NFT status; or
  • Other announced criteria.

Holding a Player NFT does not guarantee participation in every competition.

Rewards may include $QBC, physical football cards, merchandise, promotional benefits, or other announced prizes.

No particular reward or future reward value is guaranteed.

12. Player NFTs Are Collectibles, Not Ownership in The QB Club

Ownership of a Player NFT does not represent:

  • Equity in The QB Club;
  • Ownership of The QB Club;
  • A share of revenue or profits;
  • A debt obligation;
  • A dividend;
  • Interest;
  • Voting control over The QB Club;
  • A claim against QB Club treasury assets; or
  • A guaranteed financial return.

The QB Club does not promise that a Player NFT will appreciate in value or maintain any particular resale price.

The primary functions of Player NFTs are related to collecting, digital ownership, physical-card documentation, Marketplace activity, competitions, and other QB Club ecosystem features.

13. Market Value and Liquidity

Player NFTs and physical football cards may have market values that change over time.

The QB Club does not guarantee:

  • A particular NFT resale price;
  • A future buyer;
  • Marketplace liquidity;
  • Appreciation in value;
  • A particular physical-card value;
  • A particular grading outcome; or
  • Any financial return.

The QB Club may itself purchase eligible Player NFTs through features such as Request an Offer, but The QB Club is not obligated to make an offer for any particular NFT or to maintain any specific buyback price or level of liquidity.

Third-party marketplaces may also operate independently of The QB Club and are subject to their own rules and availability.

14. Card Condition, Grading, and Value

Unless expressly stated otherwise, physical cards associated with Player NFTs are not professionally graded.

The QB Club does not guarantee:

  • Card grade;
  • Centering;
  • Surface quality;
  • Corners;
  • Edges;
  • Print quality;
  • Future grading results; or
  • Market value.

Cards may contain manufacturing defects or other imperfections.

The QB Club uses reasonable protective handling and storage practices but does not represent that every card will qualify for any particular third-party grade.

Additional information is available in the Card Custody & Redemption Policy.

Physical cards may have factory or pack-originated defects even when pulled directly from sealed product. “Pack-fresh” does not mean mint or near-mint, and The QB Club does not guarantee any particular professional grade.

15. Intellectual Property and Third-Party Rights

Ownership of a Player NFT does not transfer intellectual-property ownership in The QB Club’s trademarks, logos, website, software, branding, or other proprietary materials.

Unless otherwise authorized, holders may display their Player NFT artwork for ordinary personal and non-commercial purposes.

The QB Club is not affiliated with, sponsored by, or endorsed by:

  • The National Football League;
  • The NFL Players Association;
  • Individual NFL teams;
  • Individual professional football players;
  • Trading-card manufacturers; or
  • Other sports organizations or brands

unless expressly stated otherwise.

Player names and factual information may be used for identification and descriptive purposes.

Third-party trademarks, card designs, photographs, statistics, and other materials remain subject to the rights of their respective owners.

16. Wallet and Blockchain Risks

Player NFTs exist on the Solana blockchain.

Blockchain transactions may be difficult or impossible to reverse.

Risks may include:

  • Lost wallet credentials;
  • Phishing;
  • Unauthorized transfers;
  • Incorrect destination addresses;
  • Blockchain congestion;
  • Wallet-software failures;
  • Third-party infrastructure outages;
  • Protocol vulnerabilities;
  • Asset-price volatility; and
  • Changes to blockchain technology.

Members are responsible for reviewing transactions before approving them.

The QB Club will never request a member’s Secret Recovery Phrase or private key.

The QB Club cannot generally retrieve an NFT from a self-controlled wallet without authorization from the wallet controlling that asset.

17. Accidental Burns or Lost NFTs

A Player NFT that is burned may be permanently destroyed on-chain.

The QB Club does not guarantee replacement of an accidentally burned, lost, stolen, or transferred NFT.

Where circumstances can be reasonably verified, The QB Club may determine whether QB Club-administered rights can reasonably be restored.

A replacement NFT, if issued, would generally have a different Solana mint address from the original NFT.

Any replacement, restoration, or status change may be documented in The Registry.

Further procedures are described in the Card Custody & Redemption Policy.

18. Accounts, Wallets, and Eligibility

The QB Club currently accepts accounts from U.S. residents who are at least 18 years old.

Certain features may require:

  • A registered QB Club account;
  • A verified QB Club Wallet or supported connected wallet;
  • Ownership verification;
  • Age or residency verification;
  • Transaction verification; or
  • Other reasonable anti-fraud or compliance checks.

Different features may have additional eligibility requirements.

Void where prohibited.

19. Taxes

Members are responsible for evaluating and satisfying their own tax obligations arising from activities such as:

  • Buying or selling Player NFTs;
  • Receiving competition rewards;
  • Receiving $QBC;
  • Selling an NFT to The QB Club;
  • Redeeming physical cards; or
  • Other Marketplace or blockchain activity.

The QB Club may collect information or provide tax reporting where required by applicable law.

20. Changes to Features and Utilities

The QB Club may develop, modify, suspend, or discontinue features associated with Player NFTs as the platform evolves.

Changes may involve:

  • Marketplace functionality;
  • Wallet features;
  • Competition formats;
  • Rewards;
  • Vault Boosts;
  • Redemption procedures;
  • Member benefits;
  • Payment methods; or
  • Other ecosystem functions.

The QB Club does not guarantee that every feature available today will remain available indefinitely.

Material changes will be reflected in applicable policies or program announcements where appropriate.
